| Description | Brian has been practicing corporate and securities law in Toronto and Mississauga for over nineteen years Brian was elected as a Bencher of the Law Society of Ontario in 2019 and has served on the Access to Justice Committee and the Technology Committee. He has served on the PDAC Securities Committee for the last four years and has previously served as Corporate Secretary for a junior exploration company, Director and President of the Private Capital Markets Association, Director of the Toronto Business Development Centre and as a Director or Officer on several other corporations. Brian’s practice focuses on all areas of corporate finance and securities transactions, which includes exempt market financings, initial public offerings, dealer registration, mining related transactions, tech and start-up companies, mergers and acquisitions and general corporate matters. Brian is a speaker at seminars and conferences involving the sale of exempt market securities, including how to raise capital in the public and private market place using the Offering Memorandum, Crowdfunding and other more traditional prospectus exemptions. He was called to the Ontario Bar in 2002 and the New York Bar in 2003. He also serves as a member of the Securities Law Sub-Committee of the Ontario Bar Association and has served as a member of the Executive Boards of the Natural Resources Section and the Business Section of the Ontario Bar Association. He is a member of the Canadian Bar Association, the Ontario Bar Association, the New York Bar Association and Christian Legal Fellowship. Brian completed his BA (Political Science) and LLB in 2000, his MBA in 2001, his LLM in corporate finance and securities law in 2009 and received his Certificate in Mining Law in 2012. |
